NDA Template
This is a working template for early project discussions. Before signing, it should be adapted to your jurisdiction, party details and legal requirements.
1. Parties
Party 1: [full legal name of the company], hereinafter the “Company”. Party 2: Sergey Pozdnyakov / AI.AUDIT, hereinafter the “Consultant”.
2. Confidential Information
Confidential Information means any non-public information shared during discussion or delivery of the AI audit: process descriptions, IT architecture, financial indicators, customer data, contracts, internal documents, interview recordings, technical diagrams and development plans.
3. Obligations of the Parties
- Use Confidential Information only to evaluate and deliver the project.
- Do not disclose it to third parties without written consent from the other party.
- Limit access to people who genuinely need it for the project.
- Promptly report suspected leakage or unauthorized access.
4. Exceptions
The obligations do not apply to information that was already public, independently obtained without violating the NDA, disclosed as required by law, or approved for disclosure in writing by the other party.
5. Term
The NDA is effective from the signing date and remains in force for 3 years after the negotiations or project end, unless the parties agree otherwise in writing.
6. Return and Deletion of Materials
Upon the Company’s request, the Consultant returns or deletes received materials, except for information that must be retained by law, accounting requirements or to protect the parties’ legitimate interests.
